Speaker Biographies

Dan Carlson
Mr. Carlson is a Co-manager and General Partner with Strategic Alliance Capital. Strategic Alliance is a fund dedicated to Alternative Public Offerings and PIPE transactions. At the fund, Dan’s duties include sourcing and evaluating potential investments, performing valuation analysis, investor relations and performance attribution analysis. Dan is also Head of Institutional Sales at Primary Capital, an SEC licensed Broker/Dealer also focused on PIPE financings. In recent years, Dan has also been a contributing editor to Deal Flow Media. Dan’s articles appeared in two publications produced by DealFlow Media: The PIPEs Report, the first periodical dedicated to providing news, information, and analysis of private investments in public equity and The Reverse Merger Report, a quarterly focused on the business of reverse mergers, SPACs, and alternative IPO techniques. Dan joined the General Partnership of Strategic Alliance Capital after having previously been at BayStar Capital. Between 2002 and 2005 BayStar invested in over 100 PIPE transactions. During his time at BayStar, Dan was a Managing Director responsible for Trading and Risk Management. He also performed many other roles for BayStar such as Analyst and Client Services/Marketing. Dan has been involved in the money management industry for 18 years, having also spent time at Husic Capital, Azure Capital and RCM. While at Husic Capital, a multi-billion dollar pension fund manager, Mr. Carlson was Head of Trading where he also assisted in management and risk management of the hedge fund products. Prior to Husic, Mr. Carlson started in the alternative investment field as Head of Trading/Analyst at Azure Capital Partners, a Venture Capital/Crossover fund investing in the technology industry. From 1995-2000, Mr. Carlson was a Senior Trader for RCM, where he specialized in trading small cap. and technology issues. Mr. Carlson started his career on the Pacific Coast Stock Exchange where he worked for over 5 years, achieving the level of Specialist on the trading floor. Mr. Carlson graduated in 1989 from Tufts University with a degree in Economics.

Marshall Jensen
Mr. Jensen is a Managing Director of Fort Mason Capital, LLC, a registered investment adviser founded in 2005. At Fort Mason , he is responsible for investment origination and structuring. For over a decade, Mr. Jensen has worked with issuers in varied principal investment, investment banking and legal capacities. He has been involved with in excess of 200 financings completed by public and private companies. Mr. Jensen received a J.D. from Columbia University and a B.A. from Brown University."

Alisande M. Rozynko
Ms. Rozynko has represented numerous public, private, start-up and emerging growth companies for more than 15 years. Ms. Rozynko has substantial experience representing companies in private placements, public offerings of both equity and debt securities and mergers and acquisitions. Ms. Rozynko also has extensive experience with reverse mergers and other forms of alternative public offerings (“ APOs”). Ms. Rozynko has been practicing corporate and securities law since 1991 and is a former partner of Wilson Sonsini Goodrich & Rosati, a professional corporation. She received her law degree from Hastings College of the Law, University of California , in 1991 and a B.A. in history from the University of California , Berkeley (with high honors) in 1984, where she was Phi Beta Kappa. She is a member of the California Bar.

Joanna Schulman
Joanna Schulman is founder and managing partner of Thallo Bioscience Advisors, LLC a financial and strategic advisory firm serving clients globally in the Life Sciences sector. She has extensive experience working with organizations in the biotech/life sciences, technology and consumer products industries. Ms. Schulman specializes in the areas of: corporate development, asset acquisition & divestiture, M&A, partnering & licensing and capital raising. Ms. Schulman is a Principal Advisor for the NIH Commercialization Program assisting NIH funded companies with their capital raising and corporate development strategies. Ms. Schulman is an active committee member, roundtable participant and panel speaker for regional and national biotech and life science industry organizations. She has served on the board and steering committees for a wide range of healthcare non-profit organizations, patient advocacy groups and companies. Ms. Schulman received her Bachelor’s degree in Political Science from Wesleyan University, CT and her Master’s degree in Cognitive Science from the University of California, Santa Barbara.
